The merger between Dasa and Amil hospitals, finalized on Friday (14), represents a major shift in the healthcare landscape by merging health insurance providers and hospital operators. This follows recent moves in the sector, such as Rede D’Or partnering with Bradesco Seguros to create a hospital entity and Oncoclínicas forming a joint venture with Porto Seguro Saúde and Unimed Nacional.
According to Dasa, "This partnership forms a new collaboration between two major sector players, extending their reach across healthcare, including diagnostics and insurance segments." The merged company, named Ímpar, boasts an annual net revenue of R$10 billion and an EBITDA of R$777 million.
Ímpar will encompass 4,400 beds spread across 25 notable hospitals, including Nove de Julho, Santa Paula, Leforte, Samaritano, and Pró-Cardíaco, alongside COI oncology clinics. These facilities are predominantly located in São Paulo, Rio de Janeiro, and Brasília.
The transaction also involves the transfer of R$3.85 billion of Dasa’s debt to the new entity, reducing Dasa’s leverage from 4.2 to around 3 times EBITDA, factoring in a recent R$1.5 billion capital infusion from the Bueno family.
This merger solidifies Ímpar's position as Brazil's second-largest hospital network, second only to Rede D’Or. BTG advised Dasa on the transaction, while BR Partners represented Amil.
